Secretarial Services - Company Secretary
Limited company must appoint one company secretary. The company secretary should be a Hong Kong resident or a Hong Kong limited company. If the company has only one director, that director shall not also be the company secretary. Company secretary is an important role for corporate governance, but not the personal assistant/personal secretary of directors.
Duties of company secretary include:
- Arrange directors and shareholders meetings and prepare meeting minutes;
- Handle regulatory submission to Company Registry such as annual returns submission and change of names/addresses;
- Handle renewal of business registration;
- Prepare documents for opening bank accounts;
- Prepare share transfer documents;
- Deregistration and liquidation, etc
We can be appointed as your company secretary. And we will be responsible for the submission of annual return for the year of appointment. Only HK$600 per year will be charged for this service (not including the government charge of HK$105/HK$180 or government penalty** on the annual return). Other secretarial services will be charged separately, please refer to the price list*.
